1. Acceptance of Terms

By accessing or using the Resilience Foundry website, platforms, or services, you agree to these Terms of Service ("Terms"). If you do not agree, you must not use our services.

2. Services

Resilience Foundry provides:

• SaaS cyber resilience platforms
• Threat intelligence
• Skills development and cyber exercises
• Red team and adversary simulation services

Certain services may be governed by separate agreements, statements of work, or order forms, which take precedence in case of conflict.

3. No Guarantee of Security

Resilience Foundry does not guarantee the prevention of cyber incidents, breaches, or compliance outcomes.

All insights, analytics, recommendations, and intelligence are advisory in nature and must not be treated as legal, regulatory, or absolute security assurances.

4. User Accounts

You are responsible for:

• Maintaining the confidentiality of account credentials
• All activities conducted under your account
• Ensuring authorised use only

We may suspend or terminate accounts where misuse, security risk, or breach of these Terms is identified.

5. Acceptable Use

You must not:

• Attempt unauthorised access
• Interfere with system integrity or availability
• Misuse platform outputs or intelligence
• Reverse engineer, copy, or exploit the services
• Use services for unlawful purposes

6. Red Team & Testing Services

Where red team or adversary simulation services are provided:

• Activities occur only within an agreed and authorised scope
• Written approval is required prior to engagement
• You are responsible for internal authorisations
• Resilience Foundry acts as a service provider, not an attacker

7. Intellectual Property

All software, content, methodologies, analytics, and materials are the intellectual property of Resilience Foundry or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the services for internal business purposes only.

8. Fees & Subscriptions

• Fees are payable as agreed
• Subscriptions may renew automatically
• We may update pricing with reasonable notice
• Non-payment may result in suspension or termination

9. AI & Automated Analysis

Our services may include AI-driven or automated analysis.

• Outputs are probabilistic and contextual
• Human judgement is required
• You remain responsible for decisions and actions taken

10. Confidentiality

Each party agrees to protect confidential information disclosed during service delivery and to use it solely for authorised purposes.

11. Limitation of Liability

To the maximum extent permitted by law:

• We exclude liability for indirect or consequential loss
• Our total liability is limited to fees paid in the preceding 12 months
• We are not liable for business interruption, data loss, or cyber incidents arising from use of our services

12. Indemnity

You agree to indemnify Resilience Foundry against claims arising from:

• Misuse of services
• Breach of these Terms
• Unauthorised or improperly authorised testing activities

13. Termination

We may suspend or terminate access immediately for:

• Legal or regulatory compliance
• Security reasons
• Breach of these Terms

14. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England shall have exclusive jurisdiction.

15. Changes to These Terms

We may update these Terms periodically. Continued use of the services constitutes acceptance of the updated Terms.
